THE SEARCH:

Altus Partners have been retained with a growing ESG Investment Management firm that is looking to bring on a Head of Legal / General Counsel to join them in the London office. The business was founded in 2021 with a focus to on climate change by restoring specific ecosystems through carbon reduction. The organisation is led by a team of professionals across leading Global institutions. The business looks to finance and support the highest-priority carbon offset projects. The investment strategy of the business is underpinned by natural climate solutions, where conservation projects include global assets.  

 

THE ROLE:

As part of a growing team, you will lead and undertake legal involvement in support of in the entire investment lifecycle and related activities. The business requires the expertise of a skilled transactional M&A Lawyer to manage the business's commercial and asset contracting. As a critical hire to the business, you will report to the CEO and independently serve as the primary legal contact for all external and internal stakeholders. This opportunity will suit a Lawyer with experience in M&A transactions with an appreciation for climate change.

 

  • Work closely with the investment team by providing legal counsel on respective investment opportunities. 

  • Contributing to the legal sections of Investment documents, which extends to drafting/reviewing governing documents  

  • Legal, due diligence, merger agreements, SPAs, ancillary documents, confidentiality agreements, shareholders agreements and deal-related documents

  • Agreements with investors: drafting/reviewing side letters and contracts formalizing partial and complete exits from investments and secondary sales between the investors

  • Agreements with portfolio assets: reviewing transaction documents formalizing the business investments

  • Regulatory: maintain an overview of business marketing activities and registration with the regulator

  • Coordination of local counsel in various jurisdictions

  • Collaboration with investment, finance, and operations teams for the provision of legal counsel

 

THE REQUIREMENTS:

  • Undergraduate Qualification/ in Law

  • 3 - 6 years PQE (in an investment/ M&A environment)

  • Legal right to practice in England and Wales

  • In-House M&A Experience is essential, and Investment Management or Carbon / ESG/ Sustainability background experience is preferred but not required.

  • Strong understanding of the financial regulatory regime

  • Strong interpersonal skills and the ability to interact with others in a small team

  • Professional interest in Climate Change, and natural conservation will distinguish you as a candidate.
