Altus Partners have been retained with a growing Venture Capital advisory firm that is looking to bring on Senior Lawyer to join them in the New York office. The business, founded in 2020, is a fast-growing Venture Capital and Private Equity investment advisory & service platform headquartered in Germany, with offices in Greece, Russia and London. The business is going through a significant growth phase and building out its core management team. The business was founded in 2020 by a leading European venture capital firm and the business strives to deliver a range of funds and SPV management to leading venture capital and private equity firms across Europe and the US.
THE ROLE:
The business is looking for a qualified lawyer with 3 – 6 years’ experience in US regulations on venture capital and private equity funds. It is the business first legal hire and will be responsible for all legal responsibilities and is to provide support to the legal department by leading and oversight of the co-investments division. The role requires an entrepreneurial and structured individual who is motivated to challenge the status quo and to grow within the business, both personally and professionally, in a team that wants to revolutionize the alternative assets industry.
Leading and coordination of co-Investment division.
Oversight of LLC documents: drafting and reviewing of the fund’s governing documents
Coordination of local counsel in various jurisdictions, mainly the US
Oversight of agreements with investors: structuring investments and drafting and reviewing agreements,
Oversight of agreements with portfolio companies: reviewing transaction documents formalising the fund’s investments
Oversight of agreements with investors: structuring investments, drafting, and reviewing agreements and oversight of legal partial and full exits
Oversight of legal regulatory requirements: overviewing application of various US exemptions, US filings, overviewing fund’s marketing activities and investor status analytics
Close interaction with investment, tax, finance, and operations teams
Develop, revise, and enforce business policies and procedures as needed
Attend and contribute across the legal business area on projects as required
Support the company‘ approach to sustainability and ESG
Feedback on all business development opportunities with senior management
THE REQUIREMENTS:
Relevant degree and education in Law
3 – 6 years of relevant legal experience in investment funds industry and US funds
Ability to demonstrate strong knowledge in Private Equity and Venture Capital
Experienced user of Microsoft Office
Excellent written and oral communication skills
Additional European language would be a benefit
