THE SEARCH: 

Altus Partners are delighted to be partnering with a Private Equity backed professional services buy-and-build. Based out of the Midlands, the M&A Director will be primarily responsible for leading the full transactional lifecycle, from identification and nurturing of relationships, to execution of M&A activity and seamless handover to their integration team using a hands-on approach to personally drive the success of projects. Reporting to the CFO, and working closely with the CEO and Integration Director, to support the company’s growth through thoughtful, targeted, and timely M&A activity.

THE ROLE: 

  • Will involve market-mapping, identifying potential targets, managing their M&A pipeline and maintaining their M&A database recording contacts with potential targets.

  • Building relationships with relevant sell-side advisors and brokers to ensure the company is shown all suitable opportunities.

  • Lead analysis of target financials and other due-diligence information provided.

  • Suggest potential deal valuations and transaction structures.

  • Build synergy cases and financial models to support transactions, including historic reporting and post-acquisition forecasts.

  • Assist with negotiations with potential vendors.

  • Draft stage gate approval papers (pre due-diligence and pre completion) as well as offer documents.

  • Manage and coordinate all internal and external due-diligence work streams (including managing adviser costs)

  • Manage and coordinate the legal negotiation process (SPA, disclosure et al.)

  • Work closely with the Integration Director to ensure all risks identified through due diligence are included, with a plan to address / mitigate the issues, within the integration plan

  • Analyse the performance vs plan of acquisitions three, six, and twelve months after completion

  • Track integration progress and synergy delivery post completion.

  • Prepare and delivery of pitch materials, management presentations and board presentations


THE REQUIREMENTS: 

  • ACA / ACCA qualified with at least three years’ post qualification experience in a Corporate Finance / Transaction Services (due diligence) / Private Equity role.

  • Strong modelling and financial / accounting skills, highly proficient in PowerPoint and Excel

  • Buy-side M&A experience

  • Ability to manage multiple inputs across multiple projects in parallel

  • Passionate, positive, and energised by working across a number of businesses and on a diverse range of projects in a fast-paced, ambitious and entrepreneurial environment. 

  • Motivated and decisive individual with an inquisitive mind and an assured approach to financial management. 

  • Excellent verbal and written communication skills in English; additional language skills would be advantageous. 

  • An ability to represent the Fund’s vision, strategy and values at all times. 

  • Someone who drives a team around them to strive for excellence and uphold a certain standard, with broader leadership skills beyond M&A to complement the CEO and provide visible and respected leadership.
