Altus Partners are delighted to be working with a market leading specialist litigation fund who are looking to hire a Senior Funds Counsel professional into their team. The fund is regarded as a global leading in litigation finance and this is an excellent opportunity for the right candidates to develop their career. The ideal candidate will have circa 6 years PEQ in a city law firm funds team, ideally with several years in a law firm coupled with some in house experience in a fund as well.

 

THE ROLE:
  • Drafting constitutional documentation of funds including limited partnership agreements, shareholder agreements and unit trust deeds;

  • Drafting and negotiating ancillary documentation such as management agreements for investment sub-advisors and administration agreements;

  • Advising on carried interest;

  • Reviewing marketing material;

  • Drafting LLP agreements in relation to setting up new managers;

  • Negotiating with fund counsel when acting for investors (either as cornerstone investor or as a minority investor);

  • Discussing new funds with both start-up and experienced managers

 

THE REQUIREMENTS:
  • Have familiarity in structuring and establishing funds in offshore jurisdictions

  • Be confident in communicating with stakeholder management and investors and responding to their queries (working closely with Harbour’s Fund Finance team and Head of Investor Relations where necessary)

  • Be adept in identifying and managing regulatory and compliance issues (working with the compliance managers as required)

  • Be confident in making reasoned decisions and recommendations in response to issues that arise and have a ‘solutions based’ approach to them

  • Ideally have experience in alternative finance structures (e.g. debt finance, joint ventures) and in corporate and company secretarial work  

  • Strong academically and have a minimum of 6 years PQE in a City law firm funds team;

  • Have sound commercial awareness in considering options and solutions to various issues

  • Preferably have experience working in house at an investment fund
